The Australian Diabetes Educators Association (ADEA) is a company limited by guarantee. The Australian Corporations Act of 2001 makes provisions in relation to such companies, corporations and financial products and services, and for other purposes. The Australian Securities and Investments Commission (ASIC) administers the Corporations Act.
The ADEA’s Constitution (Constitution) defines the operation of the company in accordance with the Australian Corporations Act of 2001.
The ADEA recommends that all members familiarise themselves with the ADEA Constitution.
A new Constitution was passed at special resolution meeting held on 11 July 2015.
At the 2019 Annual General Meeting, members approved an amendment to clauses 12.1 and 12.2 of the ADEA Constitution to allow the appointment of an additional Full Member CDE Director, bringing the maximum number of Full Member CDE Directors to six.
